Introduction

Please read these terms carefully

These Terms and Conditions govern your use of the Brand Leadz website and the services we provide. By accessing our website or engaging us for any service, you agree to be bound by these terms.

If you do not agree with any part of these terms, please do not use our website or engage our services.

Our services

Brand Leadz provides digital marketing services including but not limited to social media management, paid advertising (Meta Ads, Google Ads), content creation, website design and development, branding, and related services.

The specific scope of services, deliverables, timelines, and payment terms for each engagement are defined in a separate Agreement or Proposal issued to the client. In the event of any conflict, the signed Agreement takes precedence over these general terms.

Payment terms

  • All payments are due as per the schedule outlined in the agreed proposal or invoice.
  • Services will commence only upon receipt of the agreed advance payment.
  • Monthly retainer services (such as social media management) are billed at the start of each month and are non-refundable once the month has begun.
  • All prices are exclusive of applicable taxes unless stated otherwise.
  • Late payments may result in a pause of services until the outstanding amount is cleared.

Client responsibilities

To enable us to deliver quality work on time, clients are responsible for:

  • Providing accurate and complete information about their business, products, and target audience
  • Supplying required materials — photos, videos, logos, copy — within agreed timelines
  • Providing timely feedback and approvals to avoid project delays
  • Ensuring that any content or materials provided to Brand Leadz do not infringe on third-party intellectual property rights
  • Granting necessary access to platforms (Meta Business Manager, Google Ads, website) required for service delivery

Intellectual property

All creative work produced by Brand Leadz — including designs, ad creatives, social media content, written copy, and strategic documents — remains the intellectual property of Brand Leadz until full payment for the relevant project has been received.

Upon receipt of full payment, ownership of deliverables specific to the client's project is transferred to the client. Brand Leadz retains the right to display work in its portfolio unless the client expressly requests confidentiality in writing.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the engagement. This includes business strategies, financial data, customer information, and any other information marked or reasonably understood to be confidential.

This obligation of confidentiality survives the termination of any service agreement.

Results and performance

Digital marketing results depend on multiple factors including market conditions, platform algorithm changes, ad budgets, and audience behaviour. Brand Leadz commits to applying best practices and professional expertise, but cannot guarantee specific results such as a fixed number of leads, sales, or return on ad spend.

We will always be transparent about performance through regular reports and will proactively recommend strategy adjustments based on what the data shows.

Termination

Either party may terminate the engagement by providing 30 days' written notice. Any work completed up to the date of termination will be invoiced and is payable in full. Prepaid retainer fees for the current month are non-refundable.

Brand Leadz reserves the right to terminate an engagement immediately if a client engages in conduct that is illegal, unethical, or damaging to the reputation of Brand Leadz.

Limitation of liability

To the maximum extent permitted by applicable law, Brand Leadz shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or website, including but not limited to loss of revenue, loss of data, or business interruption.

Our total liability in connection with any engagement shall not exceed the total fees paid by the client in the three months immediately preceding the claim.

Governing law

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in Mumbai, India.
